(NASDAQ: CHTR) (along with its subsidiaries, "Charter") announced today the pricing terms for the previously announced private offer (the "Pool 1 Offer") by its wholly-owned subsidiaries, Charter Communications Operating, LLC ("CCO"), Charter Communications Operating Capital Corp. ("CCO Capital" and, together with CCO, collectively, the "CCO Issuers" or the "Company") and Time Warner Cable, LLC (the "TWC Issuer" and, together with CCO Issuers, the "Old Notes Issuers"), as applicable, to exchange seven series of notes issued by the CCO Issuers or the TWC Issuer, as applicable (collectively, the "Pool 1 Notes"), for a combination of cash consideration and a new series of Senior Secured Notes due 2038 (the "New 2038 Notes") to be issued by the CCO Issuers in an aggregate principal amount not greater than $2,000,000,000 (the "New 2038 Notes Cap"), as described in the table below.
