(TSX-V: UCU)(OTCQX: UURAF ) ("Ucore" or the "Company") is pleased to announce that it has entered into an agreement with Red Cloud Securities Inc. as sole bookrunner and co-lead underwriter, and B. Riley Securities, Inc., as co-lead underwriter, on behalf of a syndicate of underwriters (collectively, the "Underwriters"), pursuant to which the Underwriters have agreed to purchase, on a "bought deal" basis, 21,430,000 common shares (the "Common Shares") of the Company at a price of C$2.80 per Common Share (the "Issue Price") for aggregate gross proceeds to the Company of C$60,004,000 (the "Offering").
