Ltd. (“ Subco ”) and Arion Defence Inc. (“ Arion ”) to amend the terms of its previously announced definitive agreement dated April 1, 2026 (the “ Agreement ”) to acquire 100% of the issued and outstanding shares of Arion (the “ Transaction ”). Pursuant to the amendment, the outside date for completion of the Transaction has been extended to November 30, 2026 (from July 31, 2026) to provide the parties with additional time to complete the Transaction.
